Let’s keep things clear.

Good relationships start with knowing where everyone stands.

Terms & Conditions

These Terms & Conditions explain how KISS & Co. works with its clients. The aim is simple: for both sides to know what to expect.

KISS & Co. Ltd (“KISS”, “we”, “us” or “our”) provides practical, strategic and organisational support across work and life. When you engage KISS, these Terms & Conditions apply alongside any proposal, scope of work, engagement confirmation or other written agreement between us.

1. Working together

Every piece of work is different.

Before starting, we will agree the nature of the support required and, where appropriate, the scope, timing and fees. This may be confirmed by email, proposal, engagement confirmation or another written agreement.

Sometimes things change — priorities shift, plans evolve or something unexpected comes up. That’s fine. If a change materially affects the scope, timing or cost of the work, we’ll talk it through with you and agree the way forward before proceeding.

2. What KISS provides

KISS provides thinking, planning, research, organisation, coordination and practical execution.

Depending on the engagement, this may include working with information supplied by you, researching options, making recommendations, coordinating other people or suppliers, managing projects and carrying out agreed actions on your behalf.

KISS provides practical support and informed judgement, but we are not a substitute for regulated or specialist professional advice.

Where appropriate, we may suggest that you obtain independent legal, financial, tax, medical, property or other professional advice before making a decision.

The final decision remains yours.

3. Your instructions

Good work depends on good information.

You agree to provide information and instructions that are accurate and reasonably complete and to let us know if circumstances change in a way that could affect the work.

Where KISS is authorised to communicate, arrange, purchase, book or otherwise act on your behalf, we will do so within the authority you have given us.

We will not knowingly make a material financial commitment on your behalf without your approval unless you have expressly authorised us to do so.

4. Confidentiality

Trust and discretion are fundamental to KISS.

Information you share with us in connection with an engagement will be treated as confidential and will not be disclosed to others except where:

  • you have authorised us to do so;

  • disclosure is reasonably necessary to carry out your instructions;

  • we use a professional adviser, contractor or service provider who is subject to appropriate confidentiality obligations; or

  • disclosure is required by law.

We will use reasonable care when handling confidential information and will only use it for purposes connected with providing our services, administering our relationship with you or meeting our legal obligations.

Our handling of personal information is explained further in our Confidentiality & Privacy Policy.

5. Third parties

Part of getting things done sometimes involves other people.

KISS may research, recommend, introduce or coordinate third-party suppliers, advisers or service providers.

Unless we specifically agree otherwise in writing, those third parties provide their services independently and their own terms and conditions will apply.

We will take reasonable care when helping you identify or work with third parties, but we cannot guarantee their performance and are not responsible for their acts, omissions, availability, pricing or service.

Where you enter into a contract directly with a third party, that contract is between you and them.

6. Fees and payment

Fees will be agreed before work begins and may be charged by the hour, day, project, retainer or another agreed arrangement.

Unless otherwise agreed, invoices are payable within 7 days of issue.

If the scope of an engagement changes materially, we will discuss any resulting change in fees before undertaking significant additional work.

KISS reserves the right to pause work on overdue accounts until payment has been received.

7. Expenses and purchases

Reasonable expenses incurred specifically for your engagement may be charged in addition to our fees where agreed.

Where possible, significant expenses will be approved with you in advance.

We may ask you to pay suppliers directly or provide funds in advance where purchases or bookings are being made on your behalf.

KISS is not required to personally fund substantial client expenses.

8. Cancellations and changes

We understand that plans change.

Any cancellation or rescheduling arrangements will be agreed in writing before an engagement begins, taking into account the nature of the work, time reserved and any commitments already made.

Where work has commenced, time has been reserved specifically for an engagement, or non-refundable expenses have been incurred, reasonable charges may apply, as set out in the relevant proposal or engagement agreement.

Where time has already been committed, work undertaken or non-refundable costs incurred, you may remain responsible for those amounts.

If you are engaging KISS as a consumer, rather than for business purposes, you may also have statutory cancellation rights. Nothing in these Terms & Conditions affects those rights.

9. Availability and communication

We will agree the expected level of access and communication appropriate to the engagement.

KISS is not an emergency or 24-hour service unless specifically agreed.

We aim to respond within reasonable working hours and will let you know about any periods of planned unavailability that could materially affect an ongoing engagement.

10. Technology and AI

KISS may use reputable digital tools and technology, including artificial intelligence tools, to support research, organisation, analysis, drafting and administration.

We remain responsible for the work we provide to you and apply human judgement to our output. AI can simplify the heavy lifting, but we don’t delegate the critical thinking.

We will take reasonable steps to protect confidential and personal information and will not knowingly input highly sensitive client information into public AI systems where doing so would be inappropriate.

Where an engagement involves particularly sensitive, regulated or commercially confidential information, we can agree additional handling requirements with you.

11. Intellectual property

Unless otherwise agreed, you may use the documents, plans, research and other materials created specifically for you as part of your engagement for your own personal or internal business purposes.

KISS retains ownership of its pre-existing materials, frameworks, methodologies, templates, know-how and intellectual property, including KISSology and materials developed independently of a particular client engagement.

Your confidential information will never become KISS intellectual property.

12. Results and decisions

KISS will provide its services with reasonable care and skill.

However, some work involves judgement, research, recommendations, third parties and circumstances outside our control. We therefore cannot guarantee a particular commercial, financial, personal or other outcome.

You remain responsible for decisions you make based on our work and for determining whether a proposed course of action is right for you.

13. Liability

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.

Subject to that, KISS will not be responsible for indirect or consequential losses or for losses arising from inaccurate or incomplete information supplied to us, actions taken outside our agreed scope, or the acts or omissions of independent third parties.

Any specific limitations or caps on liability will be set out in the relevant proposal or engagement agreement, where appropriate and subject to applicable law.

Nothing in these Terms & Conditions excludes or restricts liability that cannot lawfully be excluded or restricted.

Any additional limitation of liability appropriate to a particular engagement may be set out in the relevant proposal or engagement agreement.

14. Ending an engagement

Either of us may end an ongoing engagement by giving reasonable notice, subject to any specific terms agreed for that engagement.

You will remain responsible for fees for work completed and any agreed or unavoidable costs incurred up to the end of the engagement.

We may end or suspend an engagement immediately where continuing would be unlawful, unsafe, unethical, materially outside the agreed scope, or where invoices remain unpaid.

15. Data protection

We handle personal information in accordance with applicable data protection law and our Confidentiality & Privacy Policy.

Where the nature of an engagement requires KISS to process personal data on behalf of a client, additional data-processing terms may be agreed where required.

16. Changes to these terms

We may update these Terms & Conditions from time to time.

The version applicable to an engagement will normally be the version in effect when that engagement begins, unless we agree otherwise with you.

17. Governing law

These Terms & Conditions and our relationship with you are governed by the laws of England and Wales, unless another jurisdiction is required by applicable law or expressly agreed between us.
